beehiiv Community Terms of Use

Welcome to beehiiv Communities. These Community Terms of Use (“Community Terms”) are a legally binding agreement between beehiiv Inc. (“beehiiv,” “we,” or “us”) and You as a participant in any Community (defined below) hosted on the beehiiv platform.
beehiiv provides Communities as a feature available to its publisher customers (“Publishers”), who may invite You to create a Community account with beehiiv pursuant to these Community Terms and become members of a certain Community. Communities are not public spaces and You do not have a right to post Community Content. beehiiv is the platform provider; the Publisher operates the Community. These Community Terms govern Your relationship with beehiiv as platform provider. Separate terms between You and the Publisher may also apply to Your participation in a specific Community (“Publisher Terms”).
PLEASE READ THESE COMMUNITY TERMS CAREFULLY. BY JOINING OR PARTICIPATING IN A COMMUNITY, YOU AGREE TO BE BOUND BY THESE COMMUNITY TERMS. IF YOU DO NOT AGREE, DO NOT ACCESS OR USE ANY COMMUNITY. SECTION 10 CONTAINS A CLASS ACTION WAIVER AND BINDING ARBITRATION CLAUSE THAT AFFECTS YOUR LEGAL RIGHTS. PLEASE READ IT CAREFULLY.
1. Definitions
“Community” means an interactive space hosted on the beehiiv platform through which a Publisher enables its subscribers and others to share Community Content with one another.
“Community Content” means all text (including posts and direct messages), images, links, files, and other materials You post, upload, submit, or otherwise transmit within a Community, other than Aggregated Statistics.
“You” or “User” means any individual who accesses or posts Community Content in a Community.
2. Acceptance
By using Community in any manner: (i) You agree to these Community Terms; (ii) You authorize the collection, use, disclosure and other handling of information as set forth in our privacy policy, currently located at beehiiv.com/privacy (the “Privacy Policy”), which is incorporated into these Community Terms by this reference; and (iii) You agree that Your use of Community and Your Community Content will comply with these Community Terms and our Acceptable Use Policy, which is incorporated into these Community Terms by this reference. If You do not agree, You may not use Community.
3. Modification of Terms
From time to time, we may, in our sole discretion, update these Community Terms by posting the updated version and updating the date at the top of the page. We will generally provide not less than seven (7) days advance notice of any updates to these Community Terms, except where immediate effect is required by law, security or abuse prevention. Unless You reject the updated Community Terms by deleting Your account prior to the effective date provided by us, Your continued use of Community will be deemed to accept the changes and they will take effect at the earlier of: (a) 11:00 a.m. Eastern time on the 7th day after beehiiv posts them (or a later date that we specify in the update, if any); or (b) Your taking some other action to specifically accept the updated Community Terms, such as clicking to accept them. You agree to review these Community Terms periodically to ensure that You are familiar with the most recent version.
4. Eligibility
Community is not intended for use by persons under the age of 18. If You are under 18 years of age, You are not authorized to use Community, with or without registering.
5. Account and Access
Access to a Community is provided by the Publisher who invited You. beehiiv does not charge You for access to Communities. beehiiv may require You to create or authenticate an account to participate. You represent that all information You provide beehiiv in connection with creating an account is accurate and complete. You are responsible for maintaining the confidentiality of any account credentials and for all activity that occurs under Your account.
You agree to notify beehiiv immediately of any unauthorized use of Your account. beehiiv is not liable for any loss or damage resulting from Your failure to maintain account security.
Your access to a Community is contingent on Your continued compliance with these Community Terms and any Publisher Terms. beehiiv reserves the right to suspend or terminate Your access to any or all Communities at any time, with or without notice, for any violation of these Community Terms or for any other reason in beehiiv’s sole discretion.
6. Publisher’s Role & beehiiv’s Role
The Publisher — not beehiiv — operates each Community, sets Publisher Terms, and is primarily responsible for moderating Community Content. beehiiv’s role is to provide the platform infrastructure through which Communities operate.
beehiiv does not control, endorse, or assume responsibility for Community Content or any Publisher Terms, though beehiiv retains the right to remove Community Content and suspend or terminate access as described in these Community Terms. Any dispute You have with a Publisher regarding their Community or its operation is between You and the Publisher; beehiiv is not a party to that dispute.
7. Community Content
Your Content
By posting Community Content, You grant beehiiv and the applicable Publisher each a limited, non-exclusive, royalty-free, worldwide, sublicensable license and right to access, use, store, display, reproduce, and distribute Your Community Content as reasonably necessary to operate and provide the Community and the beehiiv platform. This license terminates when Your Community Content is deleted, except to the extent it has been shared with others who have not deleted it.
You are solely responsible for Your Community Content. By posting, You represent and warrant that: (a) You own or have the necessary rights to post Your Community Content; (b) Your Community Content does not infringe any third-party intellectual property right or violate any applicable law; and (c) You will not submit, upload or otherwise make available via Community any Community Content or behavior that violate our Acceptable Use Policy.
Aggregated Statistics
Notwithstanding anything to the contrary in these Community Terms, beehiiv may monitor Your use of Community and collect and compile data and information related to Your use of Community that can be used by beehiiv in an aggregate and anonymized manner, including to compile statistical and performance information related to the provision and operation of Community (“Aggregated Statistics”). As between beehiiv and You, all right, title, and interest in Aggregated Statistics, and all intellectual property rights therein, belong to and are retained solely by beehiiv. You acknowledge that beehiiv may compile Aggregated Statistics based on Your Community Content. You agree that beehiiv may: (i) make Aggregated Statistics publicly available in compliance with applicable law; and (ii) use Aggregated Statistics to the extent and in the manner permitted under applicable law; provided, that such Aggregated Statistics do not identify You.
Content Moderation
The Publisher who permitted Your access to a Community is primarily responsible for moderation of that Community and has the right to take a number of enforcement steps based on the severity of the violation of the Acceptable Use Policy and/or any Publisher Terms, including issuing warnings, removing Community Content, removing You from the Community and even reporting You and Your Community Content to law enforcement. If a Publisher removes Your or Your Community Content from a Community, please respect that decision. If You have a question or want to discuss a moderation decision, please discuss that with the Publisher directly and do not seek to post about the decision in the Community. beehiiv has no obligation to moderate Community behavior or Community Content, except as may be required by applicable law. However, beehiiv has the right to take a number of enforcement steps based on the severity of the violation of these Community Terms, including issuing warnings, removing Community Content, removing You from any and all Communities and even reporting You and Your Community Content to law enforcement. You understand and recognize that the Publisher and beehiiv may look to online content in addition to the Community Content to determine whether a moderation action is warranted.
Reporting Illegal Content

8. Disclaimers
COMMUNITIES AND THE BEEHIIV PLATFORM ARE PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. BEEHIIV DOES NOT WARRANT THAT COMMUNITIES WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF HARMFUL COMPONENTS, OR THAT ANY COMMUNITY CONTENT IS ACCURATE, COMPLETE, OR RELIABLE.
BEEHIIV IS NOT RESPONSIBLE FOR THE CONDUCT, CONTENT, OR ACTIONS OF ANY USER OR PUBLISHER, WHETHER ONLINE OR OFFLINE. YOUR PARTICIPATION IN ANY COMMUNITY IS AT YOUR OWN RISK. SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OF IMPLIED WARRANTIES; TO THE EXTENT SUCH EXCLUSIONS ARE NOT PERMITTED, THEY SHALL APPLY TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW.
9. Limitation of Liability
IN NO EVENT WILL BEEHIIV HAVE ANY LIABILITY TO YOU FOR ANY LOST PROFITS OR REVENUES OR FOR ANY INDIRECT, SPECIAL, INCIDENTAL, CONSEQUENTIAL, COVER OR PUNITIVE DAMAGES HOWEVER CAUSED, WHETHER IN CONTRACT, TORT OR UNDER ANY OTHER THEORY OF LIABILITY, AND WHETHER OR NOT BEEHIIV HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. OUR MAXIMUM AGGREGATE LIABILITY TO YOU FOR ANY BREACH OF THESE COMMUNITY TERMS IS ONE HUNDRED DOLLARS ($100) IN THE AGGREGATE. THE FOREGOING DISCLAIMERS WILL NOT APPLY TO THE EXTENT PROHIBITED BY APPLICABLE LAW AND DO NOT LIMIT EITHER PARTY’S RIGHT TO SEEK AND OBTAIN EQUITABLE RELIEF.
10. Governing Law and Dispute Resolution
Governing Law
All matters relating to beehiiv, Community and these Community Terms, and any dispute or claim arising therefrom or related thereto (in each case, including non-contractual disputes or claims), will be governed by and construed in accordance with the internal laws of the State of New York without giving effect to any choice or conflict of law provision or rule (whether of the State of New York or any other jurisdiction).
Dispute Resolution
Any legal suit, action, or proceeding arising out of, or related to, these Community Terms, beehiiv and/or Community will be instituted exclusively in the federal courts of the United States or the courts of the State of New York, in each case located in the City of New York and County of New York. You waive any and all objections to the exercise of jurisdiction over You by such courts and to venue in such courts. YOU AND BEEHIIV AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS OR REPRESENTATIVE PROCEEDING. WE BOTH AGREE THAT YOU AND BEEHIIV BOTH WAIVE ANY RIGHT TO A JURY TRIAL INVOLVING ANY CLAIMS OR DISPUTES. ANY CAUSE OF ACTION OR CLAIM YOU MAY HAVE ARISING OUT OF OR RELATING TO THESE COMMUNITY TERMS OR COMMUNITY MUST BE COMMENCED WITHIN ONE YEAR AFTER THE CAUSE OF ACTION ACCRUES; OTHERWISE, SUCH CAUSE OF ACTION OR CLAIM IS PERMANENTLY BARRED.
11. Waiver and Severability
No waiver by us of any term or condition set out in these Community Terms will be deemed a further or continuing waiver of such term or condition or a waiver of any other term or condition, and any failure of us to assert a right or provision under these Terms will not constitute a waiver of such right or provision. If any provision of these Community Terms is held by a court or other tribunal of competent jurisdiction to be invalid, illegal, or unenforceable for any reason, such provision will be eliminated or limited to the minimum extent such that the remaining provisions of the Community Terms will continue in full force and effect.
12. Entire Agreement
These Community Terms constitute the sole and entire agreement between You and beehiiv regarding Community and supersede all prior and contemporaneous understandings, agreements, representations, and warranties, both written and oral, regarding Community.
13. Termination
beehiiv may terminate Your access to any or all Communities for violations of these Community Terms and if You are a customer of beehiiv, any violation of the Terms of Use or other agreement between You and beehiiv. Additionally, given that each Community is an offering provided by beehiiv to the relevant Publisher operating it, beehiiv may disable or terminate any Community and all Community Content in it based on its rights under the applicable agreement between beehiiv and the Publisher. Upon termination, Your license to use Community terminates and beehiiv may, but is not obligated to, delete Your Community Content. Sections 2, 7, 8, 9, 10, 11, 12 & 13 survive termination.
14. Geographic Restrictions
beehiiv is based in the State of New York in the United States. Access to Community may not be legal by certain persons or in certain countries and beehiiv may restrict or prohibit access to Community in certain jurisdictions. If You access Community from outside the United States, You do so on Your own initiative and are responsible for compliance with local laws.
